Terms of Service

Website and Buyer Account Terms · Version 1.1 · Effective 8 October 2026

These Terms of Service (“Terms”) explain how you can use the Secret Waterfall Village website (swv.wgrace.co), the chat widget on it (Gracie AI, powered by https://wgrace.co), and the buyer dashboard you get if you register with us (together, the “Site and Services”). They are operated by W Grace Pte. Ltd. (“we,” “us,” “our”). By browsing, chatting to Gracie AI, or signing up, you’re agreeing to these Terms.

The Site presents Secret Waterfall Village, a development of villas in Bali, and lets prospective buyers explore the homes, ask questions, and register interest.

We’ve kept these Terms short on purpose. You don’t need to sign anything separately to browse the Site or to register as a prospective buyer, these Terms cover you. Our Privacy Policy sits alongside them and explains in full how we handle your personal data; where the two documents differ on a data question, the Privacy Policy governs.

1. Who These Terms Cover

These Terms apply whether you’re browsing anonymously, chatting to Gracie AI, or signed in to a buyer account. A few things worth stating plainly about that account:

• Registering is free, and it doesn’t commit you to anything. It gives you access to Gracie AI with memory of your preferences, and to project information in your dashboard.
• What you see in the dashboard (pricing, availability, timelines, plans) is indicative and can change. It isn’t an offer, a reservation, or a contract. Section 7 covers this.
• You can close your account and ask us to delete your data at any time by writing to hello@wgrace.co. We’ll handle the request within applicable legal deadlines.
• We may suspend an account that’s being used in breach of section 6, and we’ll tell you why.

If you’ve signed a separate agreement with us as a client, developer, or landowner (a platform or services agreement, for example), that agreement governs your use of our software services and takes precedence over these Terms.

2. The Gracie AI Widget

Gracie AI is an AI assistant available on the Site. It runs on third-party AI models (currently Google Gemini and Anthropic Claude) and can answer questions about Secret Waterfall Village and how we work.

A few things worth knowing before you chat to Gracie AI:

• Gracie AI is here to help you explore. It doesn’t replace advice from us, a lawyer, or a financial adviser, and it can get things wrong.
• Tell Gracie AI what you’re actually looking for: a location, a project, a unit size, a budget range. That’s the point of it, and none of it goes anywhere outside us on its own.
• What we’d rather you didn’t type into the chat: passport or ID numbers, bank or card details, passwords, or anyone else’s personal information. If we ever genuinely need something like that, we’ll ask you for it directly through a secure channel, never through the widget.
• We only use conversations to improve Gracie AI after identifying details have been stripped out. Conversations we can trace to a person are never used for that.
• If you’re signed in, your conversation sits in your account so Gracie AI remembers your preferences. Our team reads it when you’ve asked us for help, when we’re following up on your enquiry, or if we’re investigating a security problem, and not otherwise.
• Please don’t use the widget to submit anything unlawful or abusive, or to manipulate or probe the underlying AI models.

3. What We Store, and When

Conversations in the Gracie AI chat are stored to support the chat, whether or not you have an account. Please don’t enter identity documents, banking details, passwords, or other sensitive information.

We should be precise about one thing, though: like any website, we do log basic technical information on every visit whether you’re signed in or not: IP address, browser, device, and pages viewed. We need it to run the Site and keep it secure, and we don’t use it to build a profile of you.

We start holding your name and email when you take an affirmative step to identify yourself: requesting private access, creating an account, or writing to us. Our Privacy Policy explains what we hold, why, and how to ask to see, correct, or delete it.

What you type to Gracie AI may be processed by our AI providers (Gemini and Claude) so they can generate a response. We don’t let them use your conversation to train their general-purpose models, and we never sell your data.

4. Who Sees What You Tell Us

This is the question we’d want answered if we were the ones signing up, so here it is directly. Your information stays inside our team unless sharing it is genuinely needed to do something you’ve asked us to do.

• When you request private access, the Secret Waterfall Village founder can see your name and email, and may respond to your enquiry.
• If you ask us to take a next step, such as arranging a viewing, getting specific pricing or documents, or holding or reserving a unit, we share what’s needed with the project manager and the people working on that project, and nothing more. We’ll tell you the first time this happens.
• Your budget and financing position stay with us. We don’t hand a developer your number so they can price against you. If we think sharing it would actually help you, we’ll ask you first.
• If you proceed to a purchase, the developer, its lawyers, and anti-money-laundering and conveyancing rules will require certain information about you. We’ll tell you what’s needed before it goes anywhere.
• Internally, access is limited to the people working on your enquiry.
• Outside all of that, the only third parties who touch your data are the providers that keep our systems running (hosting, email, AI, analytics) under contract and only on our instructions. The Privacy Policy lists them.

We never sell your data, and we never share it for anyone else’s marketing. If you want to know whether anything about you has been shared, and with whom, just ask us at hello@wgrace.co and we’ll tell you.

5. Signing In with a Third-Party Account

If you sign up as a property buyer or client, you can create your account using a third-party sign-in provider. We currently offer Sign in with Google, and we may add others over time, such as Sign in with Apple. We use this only to verify who you are and let you securely access Gracie AI and your buyer dashboard, nothing more.

Whichever provider you use, we ask for the minimum needed to identify your account: your name, email address, and profile photo where the provider supplies one. With Google specifically, that means the basic profile and email scopes and nothing further. We don’t request access to your files, mail, contacts, calendar, photos, or any other data held by that provider, and we don’t use what’s shared for advertising or for training any AI model.

If you’re just browsing the Site or chatting to Gracie AI without signing in, none of this applies. Third-party sign-in, and any storage of your name, email, or photo, only happens once you take that affirmative step to sign up. You can revoke our access at any time in your provider’s permissions settings, and ask us to delete the data by writing to hello@wgrace.co.

6. Acceptable Use

When using the Site and Services, you agree not to:

• misrepresent your identity or affiliation with any person or organisation;
• attempt to disrupt, reverse-engineer, or gain unauthorised access to the Site or the AI widget;
• use automated tools to scrape the Site or extract data from Gracie AI at scale; or
• upload or submit unlawful, infringing, or malicious content.

7. No Advice, No Guarantee

Content on the Site and in your dashboard, and anything Gracie AI tells you, is for general information only. It’s not legal, financial, investment, or property advice, and it doesn’t count as an offer, reservation, or contract for any project or unit. Project details, timelines, and availability can change, so please confirm anything important directly with our team before relying on it. We’d much rather you asked.

8. Intellectual Property

The Site, including its design, text, project descriptions, and the Gracie AI experience, belongs to us or our licensors. You may view and share it for personal, non-commercial purposes, but you may not reproduce, modify, or distribute it commercially without our written permission.

9. Liability

The Site and the Gracie AI widget are provided “as is.” To the fullest extent permitted by law, we are not liable for loss arising from your use of the Site or reliance on information provided by Gracie AI. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Singapore law, and we do not exclude liability for our own fraud or wilful misconduct.

None of this affects the commitments we make about your personal data in section 4 or in our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time as the Site evolves. The “Effective” date at the top shows when they last changed. Where a change materially affects your account or how we handle your personal data, we’ll email registered users before it takes effect. Continuing to use the Site after an update means you accept the revised Terms.

11. Governing Law

These Terms are governed by the laws of Singapore, and any dispute is subject to the exclusive jurisdiction of the Singapore courts. If something has gone wrong, please write to us first. We would far rather put it right than argue about it.
